Terms of Service

1. Acceptance of Terms

These Terms of Service govern access to and use of the WhenYouOpen website, applications, APIs, and related services. By creating an account, purchasing a plan, buying add-on capsules, uploading content, or otherwise using the service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the service.

2. About the Service

WhenYouOpen is a digital capsule and memory-delivery platform that enables users to create, store, manage, and schedule personal capsules for future access or future delivery to designated recipients.

Features may include:

  • account creation and authentication,
  • annual subscription plans,
  • one-time add-on capsule purchases,
  • plan-based content allowances,
  • capsule creation and scheduling,
  • recipient designation,
  • delivery workflows,
  • notification and reminder services,
  • data export and deletion workflows,
  • plan downgrade, expiry, grace period, and purge handling.

Availability of particular features depends on the selected plan, active subscription state, technical availability, and compliance with these Terms.

3. Eligibility and Account Responsibility

You must be legally capable of entering into a binding agreement to use the service.

You are responsible for:

  • providing accurate registration information,
  • maintaining the confidentiality of your account credentials,
  • all activities conducted through your account,
  • keeping your contact details up to date,
  • ensuring that recipient details and uploaded content are accurate and lawful.

You must notify us promptly if you suspect unauthorized access or misuse of your account.

4. Account Registration and Access

To use core features, you may need to register an account and provide information such as your name, email address, phone number, and password.

We may use verification workflows, including OTP or similar methods, to authenticate or authorize sensitive account actions.

We reserve the right to suspend, restrict, or terminate access where necessary to protect users, recipients, platform integrity, legal compliance, or security.

5. Subscriptions, Plans, and Add-On Capsules

5.1 Subscription Model

WhenYouOpen may offer annual subscription plans. Plan features, storage allowances, content-type permissions, capsule limits, and pricing are determined by the plan configuration published or made available at the time of purchase.

5.2 Plan Differences

At the product level, plans may differ by items such as:

  • number of included capsules,
  • total storage,
  • supported media types,
  • availability of audio/video uploads,
  • delivery and reminder options,
  • feature access,
  • support level.

Based on the current product rules:

  • the free plan supports text and photo-based usage,
  • paid plans may additionally support audio and video,
  • all subscriptions are annual,
  • additional capsules may be purchased separately as one-time add-ons.

5.3 Add-On Capsules

Individual or additional capsules may be purchased separately from the main subscription. These are one-time add-ons and may be subject to specific product rules.

Where supported by the product rules in effect, individually purchased add-on capsules may remain available even if a paid subscription later expires. However, access to plan-dependent stored media or premium memory data may still be affected by downgrade rules, media restrictions, or data-retention rules.

5.4 Billing and Renewal

By purchasing a subscription, you authorize applicable charges associated with your selected plan. Renewal timing, expiration handling, grace periods, reminders, and downgrade logic are governed by the active product configuration and payment status.

Failure to renew may result in:

  • loss of premium features,
  • account downgrade,
  • editing restrictions,
  • suspension of certain storage or media access,
  • reminder and grace-period workflows,
  • eventual deletion or purge of premium-plan media or related data where applicable.

6. No Refund Policy

All purchases made through WhenYouOpen are final and non-refundable, including but not limited to:

  • annual subscription fees,
  • renewal payments,
  • add-on capsule purchases,
  • feature-related payments,
  • any applicable taxes or processing fees unless otherwise required by law.

Because the service involves immediate provisioning of digital features, storage allocation, reserved capacity, and account-level entitlement activation, we do not provide refunds, partial refunds, credits, or prorated returns for:

  • change of mind,
  • accidental purchase,
  • unused time remaining on a subscription,
  • failure to use the service,
  • dissatisfaction where the service was made available as described,
  • downgrade requests after purchase,
  • non-renewal decisions,
  • account deletion after purchase.

Any exception may only be made where required by applicable law or expressly approved by us in writing.

7. User Content

7.1 Ownership

You retain ownership of the content you create and upload to WhenYouOpen, including capsule message text, images, audio, video, titles, notes, and related materials.

7.2 License to Operate the Service

By uploading or submitting content, you grant WhenYouOpen a limited, non-exclusive, revocable, worldwide license to host, store, reproduce, process, transmit, and display your content solely as necessary to:

  • provide the service,
  • store your capsules,
  • deliver capsules according to your instructions,
  • maintain backups,
  • troubleshoot and secure the platform,
  • enforce plan entitlements,
  • comply with legal obligations.

We do not use your private capsule content for advertising purposes.

7.3 Responsibility for Content

You are solely responsible for the content you upload, schedule, or direct us to deliver. You represent that:

  • you have the rights necessary to upload the content,
  • your content does not violate any law or third-party rights,
  • your content does not infringe intellectual property rights,
  • your content is not defamatory, abusive, fraudulent, threatening, obscene, or otherwise unlawful,
  • you have the right to provide recipient contact details.

8. Prohibited Uses

You may not use the service to:

  • violate any law,
  • impersonate others,
  • harass, abuse, threaten, or exploit others,
  • upload malware or malicious code,
  • disrupt platform infrastructure,
  • attempt unauthorized access,
  • interfere with delivery workflows,
  • store or distribute unlawful, infringing, hateful, or exploitative content,
  • use the service for spam or deceptive mass communication,
  • reverse engineer or misuse the service except as permitted by law.

We may remove content, suspend access, or terminate accounts where we reasonably believe these Terms have been violated.

9. Capsule Scheduling and Delivery

WhenYouOpen allows users to schedule capsule delivery for future dates, occasions, or other conditions supported by the service.

You acknowledge and agree that:

  • delivery depends on accurate recipient details supplied by you,
  • delivery may depend on service availability, infrastructure, and third-party communication channels,
  • we do not guarantee uninterrupted or error-free delivery in all circumstances,
  • delays or failures may occur due to invalid contact details, bounced email, messaging restrictions, legal requirements, outages, abuse controls, or events beyond our reasonable control,
  • we may take reasonable steps to retry or log delivery attempts where supported.

The service is intended to help enable scheduled future delivery, but it is not a substitute for legal testamentary, estate, or fiduciary instruments.

10. Account Deletion and Pending Deliveries

If you request account deletion while one or more capsules remain scheduled for future delivery, the service may require you to choose how those pending deliveries should be handled before deletion is completed.

Depending on the active workflow, you may be able to:

  • keep all scheduled deliveries active,
  • cancel selected scheduled deliveries,
  • cancel all scheduled deliveries.

To protect against unauthorized destructive actions, such a decision may require OTP verification through your registered email address and phone number.

Once deletion is completed, some or all associated data may be permanently removed, subject to operational, backup, audit, legal, and technical constraints.

11. Data Export, Downgrade, and Purge Workflows

Where the product provides grace periods or reminders before downgrade or deletion, it is your responsibility to act within the provided period to export or manage your data.

If a paid subscription lapses and the account is downgraded, you understand that:

  • premium features may stop,
  • premium media access may be restricted,
  • some content may be erased after reminder and grace workflows,
  • the free plan may not support all media types previously stored,
  • add-on capsules may remain as permitted by the then-current product rules.

12. Communications

You agree that we may send you essential transactional communications related to your account and service use, including:

  • OTP and security messages,
  • registration and login notices,
  • password reset notices,
  • billing and invoice communications,
  • renewal reminders,
  • account deletion confirmations,
  • capsule delivery notifications,
  • support or operational notices.

Where applicable, paid plans may include service communications through email, SMS, and WhatsApp. Messaging delivery depends on third-party providers and compliance rules.

13. Intellectual Property

The WhenYouOpen platform, including its branding, logos, software, interface design, documentation, workflows, graphics, and service materials, is owned by or licensed to us and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, or exploit our platform materials without authorization.

14. Privacy

Our collection and handling of personal information is described in the Privacy Policy. By using the service, you acknowledge that personal information will be handled in accordance with that policy.

15. Security and Verification

We may implement security measures such as login protection, activity logging, OTP verification, and audit controls for sensitive actions such as account recovery, deletion, and delivery-impacting changes.

You are responsible for safeguarding your credentials and ensuring your registered email and phone remain accessible.

16. Third-Party Providers

The service may rely on third-party infrastructure and vendors, including for cloud hosting, media storage, payment processing, email, SMS, messaging delivery, analytics, and security. We are not responsible for independent failures, policy changes, or acts of third parties beyond our reasonable control.

17. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not warrant that:

  • the service will always be uninterrupted,
  • every capsule will be delivered without delay or failure,
  • the platform will be error-free,
  • all data loss risks can be eliminated,
  • the service is suitable for every intended personal, emotional, or legal purpose.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

18. Limitation of Liability

To the fullest extent permitted by law, WhenYouOpen and its operators, affiliates, officers, employees, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or emotional-distress-related damages, including loss of data, loss of goodwill, failed delivery consequences, personal disappointment, or business interruption arising from or relating to the service.

Our aggregate liability for claims arising out of or relating to the service shall not exceed the amount paid by you to WhenYouOpen for the applicable service in the twelve months preceding the event giving rise to the claim, or the minimum amount required by law if greater.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnity

You agree to indemnify and hold harmless WhenYouOpen and its affiliates, personnel, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your content,
  • your use of the service,
  • your violation of these Terms,
  • your infringement of third-party rights,
  • your unlawful or negligent acts.

20. Suspension and Termination

We may suspend, restrict, or terminate access to the service if:

  • you violate these Terms,
  • your use creates legal or security risk,
  • payment fails or entitlements expire,
  • the service is being misused,
  • required by law or operational necessity.

You may stop using the service at any time, but any amounts paid remain non-refundable except where required by law.

21. Changes to the Service or Terms

We may modify the service, plans, pricing, features, or these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use after changes take effect may constitute acceptance of the updated Terms.

22. Governing Law and Disputes

These Terms shall be governed by the laws applicable to the operating entity behind WhenYouOpen, unless otherwise required by applicable consumer law.

Any disputes shall be subject to the jurisdiction of the competent courts applicable to that operating entity and legal structure, unless mandatory law requires otherwise.
